1. Introduction and Acceptance of Terms

Sheaves AI, Inc. (“Sheaves AI,” “we,” “us,” or “our”) operates the platform at sheaves.ai, where you can create, configure, and deploy AI agents. By accessing or using our services, you agree to these Terms of Service and Privacy Policy.

2. Age-Based Experience

Sheaves AI is accessible to users of all ages. However, to provide you with the most appropriate experience, we ask you to confirm your age during onboarding. Users who confirm they are 18 or older will have access to the full range of features and responses. Users who confirm they are under 18 will receive age-appropriate, curated responses and content. Your age selection is stored locally on your device to personalize your experience.

3. Services and Subscription

We provide a platform for building AI agents, offering various AI models, memory options, and open-source tools.

What’s free: Registered users on the Basic tier can build and use one (1) AI agent for free, with full access to any AI model, memory type, and connected tool.

Subscription plans: To unlock additional agent slots (up to a maximum of 3 on Premium and Advanced plans), you must subscribe to one of our paid plans. Details about subscription fees, billing cycles, and cancellation policies can be found under ‘Manage Subscriptions.’

4. Data We Collect

We collect the following categories of information:

Account information: Name, email address, and password when you register.

Usage data: Pages visited, features used, agent configurations, and interaction logs with AI agents.

AI interaction data: Prompts, messages, and content you submit to AI agents on our platform. This data is used solely to generate responses and improve your experience.

Age preference: Whether you have indicated you are 18 or older, or under 18, stored locally on your device to personalize your experience. This is not transmitted to or stored on our servers beyond what is necessary to apply the appropriate content settings.

Payment information: Billing details processed securely through our payment provider (Stripe). We do not store full card numbers.

Third-party integration data: When you connect third-party services (such as Google Workspace, Gmail, Google Calendar, Google Drive, Slack, GitHub, Notion, Trello, HubSpot, Zoom, Asana, or Microsoft Teams), we access only the data necessary to perform the actions you request through your AI agents. See Section 6 for full details.

Technical data: IP address, browser type, device information, and cookies/localStorage values used to maintain your session and preferences.

5. How We Use Your Data

We use the information we collect to:

• Provide, operate, and improve the Sheaves AI platform
• Deliver age-appropriate content and responses based on your stated age preference
• Authenticate your identity and maintain your session
• Process payments and manage subscriptions
• Execute actions on connected third-party services on your behalf
• Send service-related communications (e.g., billing receipts, security alerts)
• Comply with legal obligations

We do not sell your personal data. We do not use your data for advertising or share it with advertisers.

6. Google API Services — User Data Policy & Limited Use

Sheaves AI integrates with Google APIs to allow you to take actions within Google Workspace (Sheets, Docs, Forms, Slides, Classroom), Gmail, Google Calendar, and Google Drive directly from your AI agents.

Sheaves AI’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Specifically, regarding data obtained through Google APIs:

• Google Workspace (Sheets, Docs, Forms, Slides, Classroom): Used solely to create, read, or modify files and forms you explicitly request through your AI agent. Data is not stored beyond what is necessary to complete the requested action.
• Gmail: Used solely to send emails on your behalf when you explicitly instruct your AI agent to do so. We do not read, index, or store your email content.
• Google Calendar: Used solely to create or retrieve calendar events when you explicitly request this through your AI agent.
• Google Drive: Used solely to save or retrieve files when you explicitly request this through your AI agent.

Data obtained through Google APIs is:

• Used only to provide or improve user-facing features of Sheaves AI
• Not transferred to third parties except as necessary to provide the service (e.g., the AI model processing your request)
• Not used for serving advertisements
• Not used for any purpose unrelated to the feature you requested
• Not stored permanently — OAuth tokens are stored securely per-user and can be revoked at any time from your account settings

You can disconnect any Google integration at any time from your Sheaves AI account settings, which revokes our access to your Google data.

7. Third-Party Integrations

When you connect third-party services to your AI agents, you authorize Sheaves AI to interact with those services on your behalf. We only access the permissions you grant and only perform the actions you request. We do not store third-party service data beyond what is needed to complete your requested action.

Connected services include (but are not limited to): Google Workspace, Gmail, Google Calendar, Google Drive, Slack, GitHub, Notion, Trello, HubSpot, Zoom, Asana, Microsoft Teams, and Zapier.

Each third-party service has its own terms and privacy policy, which you remain subject to.

8. Data Sharing and Disclosure

We do not sell, rent, or trade your personal data. We may share data only in the following limited circumstances:

• Service providers: Trusted vendors who help us operate our platform (e.g., Stripe for payments, AI model providers for generating responses). These vendors are contractually bound to use your data only to provide services to us.
• Legal requirements: If required by law, court order, or to protect the rights and safety of Sheaves AI or others.
• Business transfers: In connection with a merger, acquisition, or sale of assets, with appropriate confidentiality protections.

9. Data Retention and Deletion

We retain your account data for as long as your account is active. AI interaction history is retained to provide continuity in your agent sessions and can be deleted by you at any time from the History page.

OAuth tokens for connected third-party services are stored per-user and deleted when you disconnect a service.

To request deletion of all your personal data, contact us at agents@sheaves.ai. We will process deletion requests within 30 days.

10. Your Rights

Depending on your jurisdiction, you may have the right to:

• Access the personal data we hold about you
• Correct inaccurate data
• Request deletion of your data
• Withdraw consent for data processing
• Port your data to another service

11. Security

We take reasonable technical and organizational measures to protect your data, including encrypted storage of OAuth tokens, HTTPS for all data in transit, and access controls limiting who can view user data. However, no system is completely secure, and we cannot guarantee absolute security.

12. Cookies and Local Storage

We use browser localStorage to maintain your session preferences, remember that you have accepted these terms, store your age preference for content personalization, and restore your conversation history between visits. We do not use third-party advertising cookies.

13. User Responsibilities and Acceptable Use

Responsible AI use: You are solely responsible for ensuring your AI agents comply with all applicable laws and regulations. You must not use our services for any illegal, harmful, or abusive activities, including infringing on third-party intellectual property or generating inappropriate content.

Data privacy and security: You are responsible for any data you input into your AI agents and must ensure its legality and security. You must not input or request personal or sensitive information without proper authorization.

Accuracy and reliability: You acknowledge that AI outputs may not always be accurate and are responsible for reviewing and verifying them before acting upon them.

14. Intellectual Property

Platform ownership: All intellectual property rights related to our services, including software, content, and trademarks, belong to Sheaves AI, Inc. or our licensors. You may not copy, modify, or distribute the service or its outputs without our prior written consent.

User-generated content: You retain ownership of the data you input into your AI agents. By using our services, you grant us the necessary rights to process your input and generate outputs for your AI agents.

15. Disclaimer of Warranties and Limitation of Liability

The service is provided “as is” with no warranties regarding accuracy or suitability. We are not liable for damages from service use or reliance on outputs.

Termination: We may suspend or end your access for any reason, including policy violations.

Governing law: These terms are governed by the laws of the United States of America. Disputes will be resolved through arbitration or courts in the applicable jurisdiction.

16. Changes to This Policy

We may update this policy from time to time. The date at the top of this page reflects the most recent revision. Your continued use of Sheaves AI after changes are posted constitutes acceptance of the updated policy.
